The agreement.

The parties.

"Ordin Studios", "we", "us", and "our" refer to Ordin Studios (ABN 76 633 604 495), an Australian sole trader business based in New South Wales, Australia.

"You" and "your" refer to the person using the site or placing an order. If you're acting on behalf of a company, you represent that you have the authority to bind that company to these Terms.

18 or older.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to place an order. By using the site you confirm you meet this requirement. Minors may use the site only under the supervision of a parent or guardian who accepts these Terms on their behalf.

We may update them.

We can update these Terms from time to time. Material changes will be posted here with a new "Last updated" date, and we'll give reasonable notice where required by law. The Terms in force when you place an order are the ones that apply to that order. Your continued use of the site after changes means you accept the updated Terms.

What we sell.

We sell physical products, currently The Ledger (12-month hardcover life dashboard), plus any accessories or future SKUs. Product specifications, materials, and photography are described on the relevant product page.

We work hard to describe and photograph products accurately, but real-world colour, texture, and finish may vary slightly from what appears on your screen. Minor variations in material, binding, or trim are not defects. Stock is limited and any product may be discontinued, modified, or repriced at any time without notice.

The invitation-to-treat rule.

Product listings on our site are an invitation to treat, not a binding offer to sell. When you submit an order at checkout, you are making an offer to buy. The order is only accepted, and the sale only formed, when we send you an order confirmation email (or, where applicable, a shipping confirmation).

We may refuse or cancel an order at any time before shipping, for any reason, including: product unavailability, pricing errors, suspected fraud, payment failure, shipping restrictions, excessive order quantities, or breach of these Terms. If we cancel a paid order, we'll refund you in full and email you to let you know.

Prices, taxes, currency.

• Prices are shown in the currency selected at checkout and are accurate at the time of display. Prices may change without notice, but we'll honour the price shown at the moment you placed a completed order.
• Prices exclude shipping unless stated otherwise. Shipping is $25 to your country, free on orders over $200.
• Ordin Studios is not currently registered for GST; we operate under the AUD $75,000 turnover threshold for mandatory GST registration under Australian tax law. No GST is charged on our products and all displayed prices are GST-free. If our turnover crosses the threshold we will register for GST and update this clause; existing orders placed before that date will not have GST added retrospectively.
• We ship worldwide on a delivered-duty-paid basis. Customs duties and import taxes are included in what you pay at checkout, so there is nothing to pay on delivery.
• Payment is taken at the time of order via our payment providers (Stripe, Shop Pay, PayPal, or equivalent). By placing an order you represent that you are authorised to use the payment method.
• If a listed price is obviously wrong (a typo or system error resulting in a price dramatically below the correct one), we reserve the right to cancel the order and refund you in full.

Getting it to you.

We ship worldwide from our overseas fulfilment partner. Shipping is $25 to your country, free on orders over $200. Orders are sent delivered-duty-paid, so customs duties and import taxes are already covered. Shipping times shown on product pages and in the checkout are estimates, not guarantees. Delays caused by carriers, customs, weather, or unforeseen events are outside our control.

Risk of loss and title for products pass to you when the product is physically delivered to the address you nominated at checkout. If an item is lost in transit, mis-delivered by the carrier, or arrives damaged, we will replace or refund the order at our cost under our Returns Policy and the Australian Consumer Law. You do not bear the risk of carrier failure.

If a package is returned to our fulfilment partner because of an incorrect address you provided or a delivery you left unclaimed, we are not able to refund the order. The parcel returns to an overseas warehouse and neither the product nor the shipping cost is recoverable. Please check your delivery address carefully at checkout.

Covered by the Returns Policy.

Returns, refunds, and our handling of damaged or defective products are governed by our Returns Policy, which is incorporated into these Terms by reference. Short version: fill one month; if it doesn't stick within 90 days you get a full refund and you keep the book. We don't accept change-of-mind returns or offer exchanges, and there is no physical returns process. Faults, damage, and carrier failure are covered separately and always.

Nothing in these Terms or in our Returns Policy takes away any non-excludable statutory rights you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), including the consumer guarantees of acceptable quality, fitness for purpose, and matching description.

The guides, and what you can do with them.

Some of what we sell is digital: PDF guides delivered by email immediately after purchase, either bought on their own or included free with a Ledger. They carry no shipping charge. If a delivery email doesn’t arrive, check your spam folder, then email hello@ordinstudios.co.

Digital guides are licensed to you for personal, non-commercial use. You may print a copy for your own use. You may not resell, redistribute, publish, or share them.

We do not refund digital products, and you keep the files. That is a commercial position on change of mind only. It does not affect your rights where a file is faulty, won’t open, or does not match its description: the consumer guarantees under the Australian Consumer Law apply to digital products as they do to physical ones, and clause S-08 above and our Returns Policy govern those cases.

What's ours stays ours.

The Ordin Studios name, the Ledger name, our logos, typography, photography, site copy, product designs, page layouts, packaging, and the software that runs this site are owned by us or licensed to us, and are protected by copyright, trademark, design right, and other laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the site for personal, non-commercial purposes only.

You may not copy, reproduce, republish, modify, scrape, reverse-engineer, sell, or commercially exploit any part of the site, our product designs, or our content without our prior written permission. You may share images or quotes from our site in a clearly attributed, non-commercial, editorial context (e.g. a blog post about productivity tools).

What you post.

If you submit content to us (reviews, photos, videos, tagged social posts using our brand hashtags, creator submissions, testimonials, contest entries) (together, "Your Content"), you retain ownership of it. You grant Ordin Studios a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable licence to use, reproduce, modify, adapt, publish, distribute, and display Your Content in any media, including in marketing on our site, social media, ads, email, and packaging, in each case with reasonable attribution where practical.

You represent and warrant that:

• You own Your Content or have all the rights needed to grant the licence above.
• Your Content does not infringe anyone else's intellectual property, privacy, or other rights.
• Your Content is not unlawful, defamatory, threatening, obscene, sexually explicit, discriminatory, or otherwise objectionable.
• If Your Content features people, you have their permission to submit it.

We may, but are not obliged to, moderate, edit, or remove Your Content at any time.

Don't do this.

When using the site, you agree not to:

• Break any applicable law or regulation.
• Use the site to harass, threaten, impersonate, or harm anyone.
• Submit false, misleading, or fraudulent information, or use a payment method you're not authorised to use.
• Access the site using automated tools (bots, scrapers, crawlers) except for legitimate search engine indexing.
• Attempt to bypass security features, probe for vulnerabilities, or introduce malware or harmful code.
• Reverse-engineer, decompile, or otherwise attempt to access the site's source code, except as permitted by law.
• Use the site or our products for any commercial resale, rental, or redistribution without our prior written consent.
• Interfere with the operation of the site or with other users' use of it.

We may suspend or terminate your access if you breach this section.

If you create one.

You may be able to create an account to speed up checkout, track orders, or manage preferences. You're responsible for keeping your password confidential and for everything that happens under your account. Tell us immediately at hello@ordinstudios.co if you suspect unauthorised access. We may suspend or delete accounts that violate these Terms or that have been inactive for an extended period.

Off-site at your own risk.

Our site links to third-party sites and uses third-party services (payment processors, analytics, ad networks, shipping carriers, creators' social media, press coverage). We don't control them, we don't endorse their content, and we're not responsible for their practices. Your use of third-party services is governed by their terms, not ours.

The site is provided "as is".

To the fullest extent permitted by applicable law, the site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the site will be uninterrupted, error-free, secure, or free of viruses.

Nothing in this section limits any warranty or guarantee that cannot be excluded under applicable consumer protection law. Where such laws apply, you have non-excludable rights (for example, goods must be of acceptable quality, match their description, and be fit for purpose), and nothing in these Terms removes those rights.

The cap on damages.

To the fullest extent permitted by law, Ordin Studios, its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, data, goodwill, or business opportunities) arising out of or in connection with your use of the site or our products, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms, the site, or any product, whether in contract, tort, or otherwise, is limited to the greater of: (a) the total amount you paid us for the products giving rise to the claim in the 12 months before the claim, or (b) one hundred Australian dollars (AUD $100).

These limitations do not apply to liability that cannot be excluded by law, including death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability under non-excludable consumer protection law.

When you cover us.

You agree to indemnify and hold harmless Ordin Studios, its owners, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of: your breach of these Terms, your violation of any law, your infringement of someone else's rights, or Your Content. We'll give you prompt notice of any such claim and reasonable cooperation in defending it.

Ending the relationship.

You can stop using the site at any time. We may suspend or terminate your access, your account, or any order, without notice, if you breach these Terms or if we're legally required to. Sections that by their nature should survive termination will survive, including IP, disclaimers, limitation of liability, indemnity, and governing law.

Where disputes get settled.

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms, the site, or our products will be resolved exclusively in the courts of New South Wales, Australia, and you consent to the personal jurisdiction of those courts.

If mandatory consumer protection law in your country of residence gives you the right to bring proceedings in your local court or under your local law, these Terms do not override that right.

Before filing a formal claim, we'd ask you to email us first at hello@ordinstudios.co. Most issues are resolved in a single conversation.

The housekeeping.

• Entire agreement: these Terms, together with our Privacy Policy and Returns Policy, are the entire agreement between you and Ordin Studios regarding the site and our products.
• Severability: if any provision is held to be unenforceable, the rest stays in effect.
• No waiver: our failure to enforce a right in one instance doesn't waive it.
• Assignment: you may not assign your rights under these Terms without our written consent. We may assign ours freely, including to a successor in a merger, acquisition, or asset sale.
• Force majeure: we're not liable for delays or failures caused by events outside our reasonable control, including supplier delays, logistics disruption, natural disasters, pandemics, civil unrest, or governmental action.
• Headings are for convenience only and don't affect interpretation.
• No third-party beneficiaries: these Terms don't create rights in anyone other than you and us.
• Notices from you to us should be sent to hello@ordinstudios.co. Notices from us to you will be sent to the email on your order or posted on the site.
